Terms of Service
These terms govern the work MedZove does for a clinic or a doctor. They are written in plain language on purpose, because a doctor should be able to read an agency contract without a lawyer sitting next to them.
What do these terms actually say?
Six things carry most of the weight. The clauses below are the binding version, and this summary exists so nothing important stays buried.
The agreement
1Who these terms bind
MedZove is a healthcare digital marketing agency based in Jalandhar, Punjab, India, working with clinics and doctors across the country. These terms apply from the moment you accept a proposal, make a first payment or ask us to begin work, whichever happens first. Where a signed proposal says something different, the proposal wins for that point and these terms cover everything else.
2What we take on, and what we do not
We work with one doctor, one speciality, one location. Nothing larger. This is a permanent scope decision, not a capacity problem, and we will decline work outside it however good the fee is.
If your practice grows beyond that shape during an engagement, we will tell you honestly that we are no longer the right agency rather than stretching to keep the retainer.
3What each package includes
Every package, everything inside it and every rupee is published on the pricing page. We do not quote different numbers to different doctors, and there is no figure that appears only on a call.
One distinction matters more than any other, so it is written here too. The website build is a one time fee. The monthly packages are separate and recurring, and a clinic that already has a website never pays the build fee.

Our GST registration has been applied for and is not yet active. Until it is, invoices carry no GST line. Once it is active, GST is added on top of the published prices, which are all exclusive of it.
If a monthly payment is not received, we will tell you before anything stops. Work pauses only after that, and it resumes when the account is settled. Nothing gets deleted because of a late payment.
5Ad spend is paid by you, directly
Money for Google Ads and Meta ads is paid by you, from your own payment method, into your own ad accounts. It never passes through MedZove. Our campaign fee covers the work of building and running the campaign, and it is separate from whatever you choose to spend on the platforms.
This keeps your spend transparent, keeps the platform relationship in your name, and removes any question about what was spent and what was billed.
6Minimum term and how to end it
Monthly packages carry a six month minimum. The reason is honest rather than commercial. Search and local visibility move over months, and judging the work at week six would tell neither of us anything true.
After that, either side can end the engagement with fifteen days written notice by email. Fees already paid for the current month are not refunded, and we finish the work that month covers. On the last day, handover under clause 12 happens whether the parting was happy or not.
Working together
7What we need from you
Most delays in this work are approval delays, so it is worth being clear.
- Clinical accuracy is yours. You are the doctor. Every clinical statement, treatment description and piece of medical information we publish is reviewed and approved by you before it goes live, and you remain responsible for its accuracy.
- Approvals within a reasonable time. Content, scripts and campaigns wait for your sign off. Timelines quoted to you assume approvals arrive without long gaps.
- Access we need. Website, hosting, domain and Google Business Profile access, given to us as a user rather than by handing over your passwords wherever the platform allows it.
- Honest inputs. Qualifications, registrations and experience as they actually are. We publish what you give us, and we will not publish a credential we cannot verify.
8What we will never do, even if asked
These are refusals, not preferences, and a request for any of them is a reason for us to end the engagement rather than a negotiation.
- Guarantee patient numbers, rankings or a treatment outcome.
- Buy, incentivise or fabricate reviews, which is an offence under the Consumer Protection Act, 2019 and against the review standard BIS IS 19000:2022.
- Run advertising that carries superlative or comparative claims such as best in the city, which Google and Meta reject in health categories and the National Medical Commission code treats as misconduct.
- Use patient photographs, before and after images, scans or testimonials about a clinical outcome.
- Advertise a cure for any condition listed in the Schedule to the Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954.
- Route your ad spend through our accounts.

9Results are worked for, never guaranteed
We commit to the work, the schedule and the reporting. We cannot commit to a ranking position, a patient count or a cost per enquiry, and any agency that does is either guessing or breaching the advertising rules that bind your profession.
We are also not responsible for things outside our control: Google or Meta changing an algorithm or a policy, an ad account being suspended by the platform, a competitor's actions, or a change in medical advertising regulation. When any of these hit, we will explain what happened and what we are doing about it.
10Reporting and communication
Monthly packages include a written report and a video call walkthrough. Campaign weeks end with a report of what ran and what it produced. Numbers in every report come from the platform itself, unedited. If a month went badly, the report says so.
Ownership, likeness and liability
11Who owns what
You do. That is the simple version and we mean it structurally, not sentimentally.
- Domain and hosting. Registered in your name. Where a package includes the first year of hosting, MedZove pays for it but ownership of the account is yours from day one. Renewals after the first year are yours to pay.
- The website and its content. Yours on full payment of the build fee, including the pages, copy and graphics we produced for you.
- Your Google Business Profile. Always yours. We work on it as a manager, never as the owner.
- Our own methods and templates. Ours. The systems, checklists and internal tooling we use to do the work stay with MedZove.
12What handover looks like
When an engagement ends, we return access rather than holding it hostage: hosting and domain control, website admin, and the files for content we produced for you.
One practical warning on Google Business Profile, because it catches people out. Only the existing primary owner can transfer primary ownership, and Google requires a new owner to have held a role on the profile for seven full days before they can be promoted. So if ownership needs to move, start it a week before the last day, not on it.
13Your face, your voice, your AI clone
The clone package produces video using your likeness and voice, so consent is the whole foundation of it.
- We create a clone only from a recording session you take part in, and only with your written consent.
- Every script is approved by you before a video is produced. Nothing is published in your voice that you have not read.
- Your clone is used only for your own practice's content. It is never used for another client, sold, licensed or shared.
- You can withdraw consent at any time. When you do, or when the engagement ends, we stop producing new videos with your clone and delete the underlying clone model on request.
- Videos already published stay yours to keep or take down as you choose.
14Confidentiality
Your business information, revenue figures, patient volumes and plans stay confidential, during the engagement and after it. We will not name you as a client or publish results from your practice without your permission in writing. Where a client has given that permission, we say so on the page.
Personal data is handled as described in our privacy policy, and patient data is handled on your instructions and never used for our own purposes.
15Our liability
We do the work carefully and we fix our mistakes. Where something goes wrong that is our fault, our total liability is limited to the fees you paid MedZove in the three months before the claim arose.
We are not liable for indirect or consequential losses, for lost profits, or for anything caused by information you supplied, by an act of a platform such as Google or Meta, or by a clinical decision. Nothing here limits liability that cannot be limited under Indian law.
Housekeeping
16When we can pause or end the work
We can pause or end an engagement, with notice and with reasons in writing, if fees stay unpaid after a reminder, if we are asked to publish something that breaches medical advertising rules or clause 8, or if the practice moves outside the scope in clause 2. Ending it does not remove your right to handover under clause 12.
17The referral programme
Referrals are open to existing clients only. Refer a practice that signs up and you get thirty percent off one month's bill, and the practice you referred gets twenty percent off their first month. There is no cap on how many practices you refer. Discounts apply to MedZove fees, not to ad spend or third party costs, and cannot be exchanged for cash.
18Changes, law and how to reach us
We may update these terms as the services and the law develop, and the date at the top shows the current version. For an existing engagement, a material change applies only after we have told you about it directly.
These terms are governed by the laws of India, and the courts at Jalandhar, Punjab have jurisdiction over any dispute. Before anyone reaches a court, both sides agree to talk properly first, because most disagreements in this work are a conversation away from being solved.
Say so before you sign, not after. Every term above exists for a reason we can explain, and a few of them are negotiable.
